General Terms and Conditions

By doing any of the following, you accept and agree to be bound by these terms and conditions (“the Terms”):

  1. Accepting the Terms electronically during the order process;
  2. Submitting an Order;
  3. Using the service described in these Terms.

1. The Agreement

The Terms, together with any operating rules, policies, price schedules, service descriptions, or other additional documentation expressly incorporated by reference (collectively, the “Agreement”), constitute the entire agreement between Red Rock Communications Limited (referred to as “we,” “us,” or “Red Rock”) and the party stated in the related order form (referred to as “you,” “user,” or “Client”) in connection with Red Rock’s Service (as defined in the Terms). This Agreement supersedes all previous agreements, discussions, and correspondence between the parties regarding the subject matter of this Agreement.

“Red Rock” includes our subsidiaries, affiliates, agents, employees, predecessors in interest, successors, lawyers, and any other service provider that provides services or devices to you for the purposes of satisfying the terms of this Agreement.

2. Client Authorization to Sign the Agreement

2.1 You represent and warrant that: a. Your primary residence or business address is in the United Kingdom; b. You have the legal right and ability to enter into this Agreement; c. Your name, user name, contact information, and registered location are true and correct; d. If the Service is for business use, you are authorized to act on behalf of your organization.

2.2 You understand that Red Rock relies on the information you provide and that providing false or incorrect information may result in service delays, suspension or termination of the Service, and the inability of a 999-dialled call to be correctly routed to emergency service providers.

2.3 You agree to: a. Promptly notify Red Rock when your personal or billing information changes (including but not limited to your name, address, email, telephone number, and credit card details); b. Be financially responsible for your use of the Service as well as for the use of your account by others.

3. The Service

3.1 Red Rock SIP & Line Service is a communication service using a data network to transport voice communications converted into data packets (“SIP”). It may also include the supply of an internet line (“Line”).

3.2 For the purpose of this Agreement: a. “Service” means Red Rock SIP & Line Service, including all other features, products, and services provided by Red Rock under any accepted quotation. b. “Device” means a modem or router.

4. Acceptable Use Policy and Service Levels

4.1 You agree to comply with Red Rock’s Acceptable Use Policy (“AUP”), which is incorporated into the Agreement by reference. Changes to the AUP may be made at any time without notice to you and are effective the day following posting on our website. A copy of the AUP as of the date of the Agreement is attached as Appendix B.

4.2 The AUP includes, among other things, the service levels we agree to provide under the Agreement.

5. Length of Service

5.1 Minimum Term: The minimum term of the Agreement is twelve, twenty-four, thirty-six, or sixty months, depending on the service you have selected. Details of the Service and the minimum term of each part of the Service are set out in the quote provided.

5.2 Start Date: We provide the Service for the term you agreed to in the order process. The term begins on the date you first ordered the service (the “Subscription Date”), the date we successfully process your payment, or the date the SIP and/or Line services are active for data inbound and outbound, whichever is later.

5.3 Automatic Renewal: Red Rock shall automatically renew the Service on a monthly rolling contract upon the anniversary of the Subscription Date (depending on the selected term) unless you cancel the Service before the end of the selected service term in accordance with Section 5.5. The renewal will be charged to your payment method on file, which may include any payment method automatically updated by your issuing bank. If your direct debit is declined, invalid, or payment is not made by the issuer on the appropriate anniversary of your Subscription Date, Red Rock reserves the right to automatically recharge the payment method until payment is received, the payment method is updated, or the Service is discontinued for non-payment.

5.4 Right to Disconnect: We reserve the right to disconnect the Service at any time without notice due to non-payment or unlawful or inappropriate use of the Service. All charges owed at the time of disconnection will immediately become payable. We will pursue collection for unpaid amounts on disconnected accounts and may report these unpaid charges to credit reference agencies.

5.5 Termination of Service: You may terminate the Service via email sent to accounts@redrockcommunications.co.uk. Upon receipt, Red Rock will send written confirmation of the agreed termination period, provided the current contract has lapsed or it falls within the remaining 30 days of service.

5.5.1 30 Days for Voice Services (SIP, PSTN, ISDN); 90 Days for Data Services (Ethernet, Broadband, EFM). Changes to the termination policy may be made at any time and will be effective the day after posting to our website and email to you.

5.6 Minimum Commitment Contracts (MCC): If you signed up for a Minimum Commitment Contract (also known as “bundled Minutes”), you will be responsible for all charges for the entire minimum commitment period in addition to any disconnect fee. You authorize Red Rock to bill these fees to your payment method. Details of the available MCCs can be found in Section 3 of the AUP.

6. Use of Service

6.1 Account Ownership: The owner of the account under which the Service is ordered shall be the legal entity that signs up for the Service. Subsequent changes to ownership must be supported by appropriate legal documentation. Red Rock shall not adjudicate ownership related disputes or any other internal business disputes. If Red Rock is unable to determine the valid owner of the account, it reserves the right to suspend or terminate the account and/or Service.

6.2 User Responsibility: You agree to be responsible for all use related to your account and accept full liability and responsibility for your actions or the actions of anyone who uses the Service via your account, with or without your permission. You acknowledge that Red Rock will be sending you information, including your password, via email over the internet. You agree that the internet is not a secure network and that third parties may be able to access, use, or corrupt the information or telephone calls you transmit over the internet. To maintain the security of the Service, you should safeguard your User IDs, Passwords, and the media access control (“MAC”) address of your internet router and firewall. The MAC address is one of the pieces of information used by Red Rock to authenticate client calls and should not be shared.

6.3 Business Plan: The Service is provided to you as a business user for your business use. This means that you are not using it for any personal, residential, non-business, or non professional purpose. You are not to resell or transfer the Service to any other person for any reason or make any charge for the use of the Service without the prior written agreement of Red Rock, which reserves the right to immediately terminate, change the calling plan, or modify the Service to allow for the change in use.

7. Importing and Exporting Local Telephone Numbers

7.1 Transferring Existing Telephone Numbers: a. Authorizing Us to Transfer In: You authorize Red Rock to process your order for the Service, notify the Previous Provider of your decision to switch your local services to Red Rock, and transfer your telephone number. If requested, you will complete a letter of authorization, provide a copy of your most recent bill from the Previous Provider, and any other information required by them to transfer (“port”) your number. Failure to provide the requested information may delay the porting of your number to Red Rock and may incur a failed port charge. Red Rock will not be responsible for such delays. b. Readiness to Activate: You agree to have your router/firewall ready before the date the number switch becomes effective. You will be assigned a temporary telephone number until your transfer is completed. c. Like for Like Transfers: Any migrations staying within the provider’s network will be migrated as they are to Red Rock Communications, and no temporary number will be issued. A suitable time and date will be arranged with the client to minimize any service disruption. A full audit log of changes can be requested at any time. d. Inability to Transfer: Red Rock may refuse to import a telephone number if it does not have the infrastructure to support the number.

7.2 Transferring Your Number to a New Provider: If your Service with us terminates, you may be able to port your current telephone number to another service provider (“New Provider”). Once your port is completed through the New Provider, you must email accounts@redrockcommunications.co.uk to cancel your Red Rock Service. Until you cancel the Service with Red Rock, you will remain a Red Rock customer and will continue to be responsible for all charges and fees associated with the Service. If you cancel the Service before completion of the port, the Service will not work, and your number may not be available for porting. Your account must be active and in good standing to port out your number.

8. Service Distinctions

8.1 General: You understand that: a. The Service does not function in the event of power failure. b. The Service is not compatible with all security systems and may fail to function if you use it with a security system.

8.2 Emergency Services (999/112 Dialling): You acknowledge that: a. 999/112 emergency dialling does not function in the same way as traditional 999/112 services. b. The Service will not be available during power or broadband outages or if your broadband, ISP, or Red Rock Service is suspended or terminated. c. It is possible that emergency service personnel may not be able to identify your phone number or location. You must provide the emergency services dispatcher with your location information. d. If you use a Softphone, nomadic 999/112 dialling is not available, and you must use another method of contacting emergency services. e. Any misuse of the 999/112 service may result in termination of your Service.

9. Charges, Fees, and Payment

9.1 Fees and Charges: a. Red Rock will charge you for the Service in accordance with its price list, which may include monthly fees, usage fees, and other fees. b. You must pay for the Service by the date shown on your bill. If you do not pay, Red Rock may charge you a late payment fee and/or suspend or terminate your Service. c. If Red Rock does not receive your payment on time, it may use a collection agency to recover any unpaid amount.

9.2 Billing Disputes: You must notify Red Rock of any billing dispute within 30 days of the date on the bill. After 30 days, you waive your right to dispute the bill.

10. Service Suspension or Termination

10.1 Suspension or Termination by Red Rock: Red Rock may suspend or terminate your Service at any time if: a. You do not pay any amount owed by the due date; b. You breach any of the terms of this Agreement; c. You engage in any conduct that Red Rock, in its sole discretion, believes violates any law or regulation, or the Acceptable Use Policy.

10.2 Suspension or Termination by You: You may terminate the Service by emailing accounts@redrockcommunications.co.uk and providing the notice required under Section 5.5.

11. Liability

11.1 Limitation of Liability: To the extent permitted by law, Red Rock shall not be liable for any indirect, incidental, special, or consequential damages, or any loss of revenue, profits, data, or use arising out of or in connection with the Service or this Agreement, even if Red Rock has been advised of the possibility of such damages. Red Rock’s total liability to you shall not exceed the amount you paid to Red Rock in the three (3) months immediately preceding the event giving rise to the claim.

11.2 Indemnification: You agree to indemnify, defend, and hold Red Rock harmless from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Service, your violation of this Agreement, or your violation of any rights of any third party.

12. Miscellaneous

12.1 Entire Agreement: This Agreement constitutes the entire agreement between you and Red Rock regarding the Service and supersedes all prior agreements, understandings, or representations.

12.2 Amendment: Red Rock may amend the terms of this Agreement at any time by posting the amended terms on its website. Your continued use of the Service constitutes your acceptance of the amended terms.

12.3 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.4 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

12.5 Dispute Resolution: Any dispute arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the London Court of International Arbitration. The arbitration shall take place in London, England.
